Subscription Terms for Birdly

Effective from: [UK_LAUNCH_DATE]

These Subscription Terms deal with price, free trial, payment, renewal and cancellation. The main legal rules are in the Terms & Conditions.

These Terms apply between Birdly.dk, CVR no. 35764283, Fjordvej 4, 4300 Holbæk, Denmark and the Customer. The paid Subscription is B2B only.

1. One plan, two ways to pay

Birdly is offered as one Subscription with access to the functions included in the UK product at sign-up.

Prices are in GBP and exclusive of VAT unless expressly stated otherwise.

If annual billing gives a stated saving, the saving shown must match the actual prices.

The Subscription belongs to the Customer's business and may not be transferred to an unrelated third party without Birdly's written consent.

2. 14-day free trial

New Customers receive a 14-day free trial beginning on sign-up. No Subscription fee is charged during the trial.

If you cancel before the trial ends:

The monthly notice period does not apply when cancellation happens during the free trial.

If you do not cancel, the chosen paid Subscription begins automatically after the free trial. The first charge is made on the first billing date shown at checkout.

Birdly intends to send an email approximately 3 days before the trial becomes paid, and usually a text as well.

3. Payment, renewal and saved payment method

You pay using the methods shown at checkout.

The payment provider securely stores the payment method needed for recurring charges. Birdly does not store the full card number/security code.

Monthly renewal

The Monthly Subscription is paid in advance and renews month by month until cancelled.

Annual renewal

The Annual Subscription is paid in advance for 12 months and renews automatically for a further 12 months unless cancelled before renewal.

Birdly intends to send an email reminder approximately 30 days before annual renewal.

Invoices/receipts are sent to or made available through the registered email address.

If payment fails, Birdly may retry, notify you, request a new payment method and suspend Service until payment is received.

Removing a saved card is not the same as cancelling the Subscription.

Price changes

Birdly may change prices. An increase for an active Subscription will be notified by email at least 30 days before taking effect. You may cancel before the change takes effect.

4. Cancellation

How to cancel

Use Birdly's cancellation function. If Birdly sends a confirmation link to your registered email, cancellation is complete only when you click it.

We do not hide cancellation

We would rather have Customers stay because Birdly is useful than because cancellation was hard to find.

A cancellation link should be included in relevant Birdly account/service emails where technically appropriate.

Monthly Subscription — current Danish commercial model

The existing Birdly model is:

Annual Subscription

The Annual Subscription is prepaid for 12 months. If you cancel before the next renewal date, no new annual charge is taken and access continues until the end of the paid period.

Refunds

Paid periods already started are not refunded except where the Match Guarantee applies, Birdly expressly agrees otherwise, or applicable law requires it.

Birdly termination

Birdly may terminate with 3 months' notice, or immediately for material breach, fraud, unlawful use, insolvency or serious security abuse.

5. VAT and tax

Prices are exclusive of VAT unless expressly stated.

Birdly is operated by a Danish business selling the UK service cross-border. VAT treatment depends on the nature of the supply, Customer's business status and applicable rules.

Where a UK reverse-charge mechanism applies, the Customer is responsible for accounting for UK VAT as required by law.

6. Changes

Birdly may update these Subscription Terms. Material changes affecting active Customers will be notified with reasonable notice. Price increases follow the separate 30-day notice rule above.
